1. Acceptance of Terms

By creating an account, accessing, or using ShoutThisOut, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use our services.

2. Description of Service

ShoutThisOut is a marketplace that connects brands with content creators for sponsored content and shoutouts. We provide the platform but are not a party to the agreements between brands and creators.

3. Account Registration

To use certain features, you must register for an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Be at least 18 years of age

4. For Brands

When booking creators through our platform, you agree to:

• Provide accurate information about your brand and campaign
• Pay all fees and charges associated with your bookings
• Not request content that violates platform guidelines or applicable laws
• Respect creator creative freedom within agreed parameters
• Respond to delivered content within the specified review period

5. For Creators

When offering services through our platform, you agree to:

• Maintain accurate profile information and pricing
• Deliver content within the agreed timeframe
• Create original content that meets the brand's requirements
• Clearly disclose sponsored content as required by law
• Not engage in fraudulent activity including fake engagement
• Maintain the minimum follower/engagement requirements

6. Fees and Payments

ShoutThisOut charges a platform fee on each transaction:

• Self-Serve: 10% platform fee
• Growth: 8% platform fee
• Enterprise: Custom pricing

All payments are processed securely through our payment provider. Creators receive payment within 48 hours of content delivery confirmation.

7. Escrow and Refunds

All payments are held in escrow until content is delivered. If a creator fails to deliver within the agreed timeframe, the brand may be eligible for a full refund through our dispute resolution process. If delivered content does not meet the agreed requirements, brands may request revisions or a refund through our dispute resolution process.

8. Prohibited Activities

You may not use our platform to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or deceptive content
• Engage in harassment, hate speech, or discrimination
• Distribute malware or attempt to breach security
• Create fake accounts or artificially inflate engagement
• Circumvent platform fees through off-platform deals

9. Termination

We reserve the right to suspend or terminate your account at any time for violations of these terms or for any other reason at our discretion. Upon termination, you remain responsible for any outstanding obligations.

10. Limitation of Liability

ShoutThisOut is not liable for any disputes between brands and creators. Our maximum liability to you for any claim arising from your use of the platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

10b. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes via email or platform notification. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration. If arbitration is found unenforceable, disputes shall be resolved in the courts of competent jurisdiction.
